By creating an account, accessing, or using Markus AI, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Platform.

1About Markus AI

Markus AI is an event engagement and networking platform that enables event organizers, attendees, exhibitors, speakers, sponsors, and other participants to discover event information, connect with other participants, communicate, schedule meetings, access content, and receive personalized recommendations.

Depending on the event and services enabled by the event organizer, Markus AI may provide features including:

Schedules & agendas Attendee & exhibitor profiles Search & discovery AI recommendations & matchmaking Networking & connections Meeting scheduling Messaging Announcements Digital content & documents AI notetaking & transcription Surveys & polls QR codes & check-in

Certain features may only be available for specific events or to specific categories of users. This Agreement governs the Markus AI mobile application, website, platform, and related services, and constitutes a binding End User License Agreement and Terms of Use between you and Markus AI.

2Definitions

"Markus AI," "we," "us," or "our": the company operating the Markus AI Platform.
"Platform" or "App": the Markus AI mobile applications, websites, APIs, software, and related services.
"Organizer": an event organizer, conference organizer, association, company, or other entity using Markus AI to operate or support an event.
"Event": a conference, exhibition, meeting, community, or other event made available through the Platform.
"User," "you," or "your": any person accessing or using the Platform.
"Attendee": a person participating in an Event.
"Exhibitor": a company or organization participating in an Event as an exhibitor, sponsor, partner, or similar participant.
"Content" or "User Content": information, text, photographs, videos, documents, messages, comments, profile information, transcripts, or other materials submitted, uploaded, transmitted, or displayed through the Platform.

3Eligibility

You may use the Platform only if you are legally capable of entering into these Terms under applicable law. You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to use the Platform.

The Platform is primarily intended for professional and business events. Unless an Organizer expressly permits otherwise, the Platform is not intended for children under the applicable minimum age required by law.

If you use the Platform on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.

4Account Registration

Certain Platform features require you to create or receive an account. You agree to:

Provide accurate and complete information, and keep it current;
Maintain the confidentiality of your login credentials;
Not share your account with another person;
Notify us immediately if you believe your account has been compromised or used without authorization; and
Be responsible for all activity conducted through your account.

We may use email verification, one-time passwords, authentication services, or other security mechanisms to verify your identity.

You must not create an account using another person's identity or impersonate another person, company, or organization, and you must not create a new account after a prior account of yours has been suspended or terminated.

You may delete your account at any time from within the Platform. Deletion removes your profile and Content in accordance with our Privacy Policy, subject to retention we are required to maintain by law or for legitimate safety and abuse-prevention purposes.

5Event Access

Access to an Event may be controlled by the Organizer. The Organizer may determine:

Who may access the Event;
Which Event content is available to you;
Which networking features are enabled;
Whether attendee or exhibitor information is visible;
Whether meetings or messaging are available;
How long Event content remains available; and
Whether your access is revoked.

Markus AI does not guarantee admission to any Event. Your registration, ticket, invitation, or access credentials may be subject to additional terms imposed by the Organizer or Event venue.

6User Profiles and Networking

The Platform may allow you to create a professional profile containing information such as:

Depending on the Event configuration, portions of your profile may be visible to other Event participants.

You understand that networking features are intended to facilitate professional connections. You are responsible for how you communicate and interact with other Users.

Markus AI does not guarantee that a connection, meeting, introduction, business relationship, transaction, or other interaction will result in any particular outcome, and we do not verify the identity, credentials, employer, or sponsor status of any User. You interact with other Users at your own risk.

7Networking, Connection Requests, and Sponsors

The Platform enables attendees, exhibitors, and sponsors to discover one another and send connection requests. You agree to use these features in good faith and for legitimate professional networking purposes.

You agree not to use contact information or professional information obtained through the Platform for bulk marketing, resale, scraping, list-building, or any purpose other than direct communication with the individual who shared it with you. Sponsors and exhibitors are additionally subject to any separate agreement with the Organizer.

Connections are consensual. Repeated unwanted contact after a request has been declined, or after a User has been blocked, is a violation of these Terms and of our zero-tolerance policy described below.

8AI-Powered Features

Markus AI may use artificial intelligence and machine-learning technologies to provide features such as personalized recommendations, attendee matchmaking, suggested connections, recommended exhibitors, speakers, sessions, or content, search and discovery, event assistance, and AI-assisted notetaking, transcription, and summarization ("AI Features").

Important AI recommendations and AI Feature output are generated using available information and may be inaccurate, incomplete, misleading, or inappropriate. AI Features are provided for convenience only. You should independently evaluate any AI-generated recommendation or output before relying on it, and you should not treat it as a verbatim record or as the basis for any legal, financial, medical, employment, or other consequential decision.

Consent for recording and transcription is your responsibility. Recording laws vary by jurisdiction and many require the consent of all parties to a conversation. Before activating any recording, transcription, or notetaking function, you are solely responsible for obtaining the informed consent of every participant and for complying with all applicable laws, Event rules, and employer policies. You agree not to use the AI Features to record any conversation you are not lawfully entitled to record.

Any transcript, summary, or note you share with another User through the Platform becomes User Content and is subject to the content standards, reporting, and blocking provisions described elsewhere in these Terms.

Where required, AI features may be subject to additional consent or configuration options. Processing of audio, transcripts, and related data, including any use of third-party AI service providers, is described in our Privacy Policy.

9User Content and License Grant

You may submit Content to the Platform, including profile information, photographs, messages, comments, documents, transcripts, feedback, and other materials. You retain ownership of your Content, subject to the rights granted under these Terms and any applicable agreement with the Organizer.

By submitting Content to the Platform, you grant Markus AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, transmit, display, process, and distribute that Content solely as reasonably necessary to:

Operate and provide the Platform;
Provide Event services;
Display your Content to authorized Users;
Enable networking and communication;
Provide AI-powered and personalized features;
Maintain and secure the Platform; and
Improve and promote the Platform and its services.

You represent and warrant that you own or have all rights and permissions necessary to submit the Content and grant these rights, and that your Content does not violate these Terms or any law or third-party right.

We are not responsible for User Content, and User Content does not reflect our views. You may be exposed to Content you find objectionable or offensive; your remedies are to use the reporting and blocking tools described in these Terms and, if necessary, to stop using the Platform.

10Content Visibility

You acknowledge that information you provide through your profile or networking features may be visible to other Event participants depending on the settings selected by the Organizer and your own privacy preferences.

Information shared with another User may be copied, retained, or used by that User outside the Platform. Markus AI cannot guarantee that another User will not copy, save, photograph, record, or otherwise reproduce information made available to them.

11Zero Tolerance for Objectionable Content and Abusive Behavior

Zero tolerance Markus AI has zero tolerance for objectionable content and abusive users. By using the Platform, you agree that you will not submit, post, transmit, upload, or otherwise make available any objectionable content, and you will not engage in abusive behavior toward other Users.

Objectionable content and abusive behavior include, without limitation, content or conduct that is:

Defamatory, libelous, threatening, or harassing;
Hate speech, or content that promotes discrimination, bigotry, or violence against any individual or group on the basis of race, ethnicity, national origin, religion, disability, gender, gender identity, sexual orientation, age, or any other protected characteristic;
Sexually explicit, pornographic, or sexually suggestive material;
Content that sexualizes, exploits, or endangers minors in any way;
Content depicting or promoting violence, self-harm, suicide, or cruelty;
Content promoting illegal activity, illegal drugs, weapons, or regulated goods;
Infringing of any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right;
Spam, unsolicited commercial solicitation, chain messages, pyramid schemes, or bulk connection requests;
False, deceptive, or intended to defraud or mislead other Users;
Impersonation of any person or organization, or misrepresentation of your affiliation, title, employer, or sponsor status;
Personal or sensitive information about another person shared without their consent;
Malware, viruses, or code intended to disrupt or damage any system; or
Stalking, doxxing, intimidation, or sustained unwanted contact with another User.

Violation of this section will result in immediate removal of the offending content and suspension or termination of your account, without notice or refund.

We screen messages submitted through the Platform using automated tools before they are delivered, and we review Content that is reported to us. We reserve the right to refuse, remove, or restrict any Content or account at our discretion, at any time and for any reason, including content that has not yet been reported.

12Reporting, Blocking, and Our Response Commitment

Reporting content or users

The Platform provides an in-app mechanism for Users to report objectionable content and abusive Users. You can report any user profile, message, connection request, or other content directly through the Report control available on that content.

Blocking users

The Platform provides an in-app mechanism for Users to block any other User. When you block a User:

Their content is immediately removed from your view;
Any pending connection requests between you are cancelled;
They can no longer contact you or view your profile; and
We are notified of the block and the associated content.

You may view and manage blocked Users at any time in Settings.

Our 24-hour commitment

Commitment We review all reports of objectionable content or abusive behavior within twenty-four (24) hours of receipt. Where a report is substantiated, we remove the offending content and eject the responsible User by suspending or terminating their account, within twenty-four (24) hours of that determination. We may also take this action on our own initiative, without a report, whenever we become aware of a violation.

We may preserve and disclose Content and account information where we believe in good faith that doing so is necessary to comply with law, enforce these Terms, or protect the rights, safety, or property of any person.

13Messaging and Communications

The Platform allows Users to communicate with one another through messages, meeting requests, connection requests, or other communication features. This is in addition to, and does not limit, the zero-tolerance standards and the reporting and blocking tools described above. You agree not to use these features to:

Harass, threaten, intimidate, or abuse another person;
Send spam or unsolicited commercial communications;
Distribute malicious software or harmful content;
Misrepresent yourself or your organization;
Collect information for unlawful purposes;
Send fraudulent or deceptive communications; or
Violate applicable law or the rights of another person.

14Meetings and Appointments

The Platform may allow Users to request, schedule, modify, or cancel meetings.

Markus AI is a technology platform and does not guarantee that another User will attend a scheduled meeting or that a meeting will occur as planned.

Users are responsible for confirming meeting details and complying with applicable Event and venue rules.

15Acceptable Use

In addition to Section 11 (Zero Tolerance for Objectionable Content and Abusive Behavior), you agree to use the Platform only for lawful purposes and agree that you will not:

Use the Platform for unlawful, fraudulent, or abusive purposes;
Impersonate another person or organization;
Upload or distribute malicious software;
Attempt to gain unauthorized access to the Platform or another User's account;
Interfere with or disrupt the operation of the Platform, its servers, or connected networks;
Circumvent, disable, or interfere with security or authentication mechanisms;
Access the Platform by automated means, including scrapers, bots, or crawlers, or systematically collect Platform data without authorization;
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform, except where legally permitted;
Copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Platform without authorization;
Use automated systems to access the Platform in a manner that places unreasonable load on our infrastructure;
Upload content that infringes intellectual property, privacy, publicity, or other rights;
Use another User's personal information for unauthorized purposes;
Attempt to manipulate AI recommendations or Platform functionality;
Circumvent Event access restrictions;
Create a new account after a prior account of yours has been suspended or terminated; or
Use the Platform in a manner that violates applicable law or Event rules.

16Intellectual Property

The Platform and its underlying technology, software, design, trademarks, logos, interfaces, graphics, databases, documentation, and other materials are owned by or licensed to Markus AI and are protected by applicable intellectual property laws.

Except for the limited, non-exclusive, non-transferable, revocable license to use the Platform granted under these Terms, no ownership rights are transferred to you.

You may not reproduce, modify, distribute, publicly display, sell, license, or create derivative works from the Platform or its proprietary materials without our prior written permission.

17Organizer Content

Event organizers may provide or upload Event-related materials, including:

The Organizer is responsible for ensuring that it has the necessary rights and permissions to provide such Content to Markus AI.

Event-specific rules, policies, or terms provided by the Organizer may apply in addition to these Terms. Where there is a conflict between these Terms and an Organizer's Event-specific terms concerning the Event itself, the applicable Event-specific terms may govern that particular Event activity.

18Third-Party Services

The Platform may integrate with or provide links to third-party services, websites, payment providers, calendars, authentication providers, social networks, AI service providers, or other applications.

Third-party services are governed by their own terms and privacy policies. Markus AI does not control and is not responsible for third-party services, including their availability, accuracy, security, or content.

19Payments

Certain features or services may require payment.

Where applicable, pricing, taxes, billing arrangements, cancellation terms, and payment conditions will be presented before purchase or governed by a separate agreement.

Payments may be processed by third-party payment providers. Markus AI may not directly store complete payment-card information.

Unless otherwise stated, purchases are subject to the applicable cancellation and refund terms presented at the time of purchase.

20Privacy

Your use of the Platform is also subject to our Privacy Policy, which explains how we collect, use, disclose, retain, and protect personal information, including audio, transcripts, and other data processed through AI Features. The Privacy Policy forms part of these Terms.

Where an Organizer provides personal information to Markus AI for the purpose of operating an Event, such processing may also be governed by an agreement between Markus AI and the Organizer.

21Data and Communications

By using the Platform, you may receive account-related communications, security notifications, Event announcements, meeting notifications, networking notifications, service communications, and other communications related to your use of the Platform.

You may be able to control certain optional notifications through the Platform settings. You cannot opt out of essential service or security communications where they are necessary to provide the Platform.

22Availability of the Platform

We aim to keep the Platform available and reliable, but we do not guarantee that it will always be available, uninterrupted, secure, error-free, free from defects, or compatible with every device or operating system.

The Platform may be temporarily unavailable because of maintenance, upgrades, technical issues, network failures, security incidents, or circumstances beyond our reasonable control.

23Suspension and Termination

We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including:

A violation of these Terms, including our zero-tolerance policy in Section 11;
Fraudulent or abusive behavior;
A security or operational risk created by your use;
A legal requirement that we do so;
An Organizer's request or requirement to remove your Event access; or
Our discontinuation of a particular service or the Platform.

Where a substantiated report or our own review confirms a violation of Section 11, we suspend or terminate the responsible account within twenty-four (24) hours, as described in Section 12.

You may stop using the Platform, or delete your account, at any time. Upon termination, your right to use the Platform ceases immediately. Sections 9, 11, 12, 16, 24, 25, and 26 survive termination.

24Disclaimers

To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Markus AI does not guarantee:

The accuracy of Event information supplied by Organizers;
The accuracy of User profiles;
The identity, credentials, employer, or sponsor status of any User;
The outcome of networking activities;
Attendance at meetings;
The accuracy of AI-generated recommendations or AI Feature output;
The availability of third-party services;
The availability of any particular Event; or
That the Platform will satisfy your particular requirements.

You are responsible for independently verifying information that is important to you and interact with other Users at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

25Limitation of Liability

To the maximum extent permitted by applicable law, Markus AI and its officers, directors, employees, affiliates, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, data, or anticipated savings arising from or relating to your use of the Platform.

To the extent permitted by law, Markus AI's total aggregate liability arising from or relating to the Platform or these Terms will be limited to the greater of (a) the amount you paid to Markus AI for the relevant services during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

26Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Markus AI and its affiliates, officers, directors, employees, and agents from claims, demands, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from:

Your violation of these Terms;
Your Content;
Your misuse of the Platform;
Your violation of another person's rights;
Your violation of applicable law; or
Your use of the AI Features without the consent required under Section 8.

27Apple-Specific Terms

The following terms apply to your use of the Platform on an Apple-branded device. In the event of any conflict, this section governs with respect to Apple Inc. ("Apple").

27.1 Acknowledgment

These Terms are concluded solely between you and Markus AI, and not with Apple. Markus AI, not Apple, is solely responsible for the Platform and its content.

27.2 Scope of license

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

27.3 Maintenance and support

Markus AI is solely responsible for providing maintenance and support services for the Platform. Apple has no obligation whatsoever to furnish any maintenance or support services.

27.4 Warranty

Markus AI is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Platform to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Platform. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the Platform.

27.5 Product claims

Markus AI, not Apple, is responsible for addressing any claims relating to the Platform or your possession and use of it, including product liability claims, any claim that the Platform fails to conform to an applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.

27.6 Intellectual property rights

In the event of any third-party claim that the Platform or your possession and use of it infringes that third party's intellectual property rights, Markus AI, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.

27.7 Legal compliance

You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

27.8 Developer contact

Questions, complaints, and claims regarding the Platform should be directed to Markus AI using the contact details in Section 32 (Contact Us) of these Terms.

27.9 Third-party terms

You must comply with applicable third-party terms of agreement when using the Platform, including your wireless data service agreement.

27.10 Third-party beneficiary

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

28Governing Law and Dispute Resolution

These Terms will be governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or your use of the Platform will be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, unless applicable law requires otherwise, and you consent to personal jurisdiction there.

29Changes to the Platform

We may modify, add, suspend, or discontinue Platform features from time to time. We do not guarantee that any particular feature will remain available indefinitely.

Where appropriate, we may notify Users of material changes through the Platform or other reasonable means.

30Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms in the Platform with a revised "Last Updated" date and, for material changes, provide notice through the Platform or by email.

The updated Terms will become effective on the date specified in the updated Terms.

Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

31General

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Event-specific terms, constitute the entire agreement between you and Markus AI regarding your use of the Platform.

Severability. If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

No Waiver. Our failure to enforce a provision does not constitute a waiver of our right to enforce it later.

Assignment. You may not transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
